Nicole Desharnais is a seasoned private equity attorney and business advisor with more than two decades of experience spanning top-tier law firms, in-house leadership, including as GC of a private equity fund. She is the Founder of Equity Distribution Solutions, Inc. (EDS), a legal technology company focused on modernizing equity distribution processes for private equity-backed companies through streamlined, cost-efficient solutions.
Nicole started her career at Ropes & Gray LLP in the private equity department where she focused on mergers and acquisitions on behalf of investors. As a Partner at OGC (Outside General Counsel LLP), she now advises founders raising capital from venture capital firms and in exit sales to growth equity investors. She brings a pragmatic, business-oriented approach shaped by her diverse experience across both law firm and in-house environments.
Earlier in her career, Nicole was Co-Founder, General Counsel, and Chief Compliance Officer of Boudica Capital Partners, a women-owned private equity fund, and held General Counsel and Chief Compliance Officer roles at MDeverywhere Inc., a private equity-backed healthcare company.
Nicole holds a J.D. from Boston College Law School and a A.B. in Classics from Harvard University. She is recognized for her ability to bridge legal strategy with business execution and for her leadership across the private equity ecosystem.

Rachel Rochat is an experienced strategy consultant with over two decades of expertise advising organizations on growth strategy, economic development, and market-driven impact initiatives, she serves as the Principal of Tenequity Consulting LLC, where she partners with clients to develop and execute strategic solutions that drive sustainable business and community outcomes.
In addition to her consulting work, Rachel served as Director of Strategy at KaBloom, where she led strategic planning and growth initiatives for the mission-driven organization. Her earlier roles include Director at Mass Economics and Research Practice Manager at the Initiative for a Competitive Inner City, where she focused on economic development and advancing opportunities in under-resourced communities.
Rachel began her career in consulting at L.E.K. Consulting and later held leadership roles at Next Street Financial, advising on strategy and financial solutions for small businesses and community development.
She holds an MBA from The Wharton School at the University of Pennsylvania, as well as a Master’s degree in International Relations, and a B.A. from Dartmouth College. Rachel is recognized for her analytical rigor, strategic insight, and commitment to driving meaningful economic impact.

Cara J. Frey is a seasoned legal executive and business strategist with more than two decades of experience advising organizations across media, marketing, and emerging growth sectors. She is a Partner at Outside General Counsel LLP, where she provides business-minded legal counsel to companies navigating complex operational, transactional, and governance matters. In addition, Cara serves as Chief Corporate Development Officer at Equity Distribution Solutions, Inc. (EDS), where she leads strategic growth initiatives and partnerships for the legal technology company focused on transforming equity distribution processes for private equity-backed businesses.
Prior to her current roles, Cara held General Counsel positions at Hijinx Agency and the Mobile Marketing Association, and spent 15 years with the Professional Bowlers Association (PBA) as General Counsel and Vice President of Business & Legal Affairs, where she oversaw legal strategy, commercial transactions, and business operations. Known for her pragmatic, business-oriented approach, Cara excels at aligning legal strategy with organizational growth and innovation.
Cara began her legal career at Howard Rice Nemerovski Canady Falk & Rabkin and Davis Wright Tremaine. She earned her undergraduate degree from Harvard University where she was the captain of the women’s basketball team and led the country in three point shooting percentage during her junior year. Cara earned her law degree from University of Washington School of Law.

Samson Abosede is a Data Automation Engineer and Support Engineer with a strong passion for information technology and a proven track record of delivering efficient, scalable solutions. With experience spanning data automation, application support, and cloud technologies, he brings a thoughtful, analytical approach to solving complex technical challenges.
Samson specializes in building automation workflows and optimizing data processes to improve operational efficiency. He also works as a Data and Automation Consultant, helping organizations streamline systems and leverage modern tools to drive productivity.
He holds a Master of Science in Information Technology from the University of Lagos and a bachelor’s degree in computer science from the Federal University of Technology, Akure.

Kerry-Ann Curran is a Talent Acquisition leader with over 25 years of experience across higher education, global nonprofit, and corporate environments. She brings extensive international recruiting and HR partnership experience, supporting organizations and field teams across Africa, Asia, Europe, and North America. She is recognized for excellent relationship management skills and the ability to build strong, trusted partnerships with senior leaders and stakeholders worldwide while delivering strategic, full life cycle recruiting solutions for complex and highly specialized roles.
Kerry-Ann’s expertise spans global relationship management, process design, and cross-functional collaboration, with a strong track record of strengthening recruiting infrastructure and elevating hiring outcomes.
She holds a BA in Psychology from St. Michael’s College and is married with two daughters.

Dana Seabury is the Chief Compliance Officer at Equity Distribution Solutions, Inc. In her role, Dana oversees compliance strategy and execution, ensuring regulatory integrity across EDS’s end-to-end platform, which streamlines equity grant documentation, electronic signatures, and IRS 83(b) filings with efficiency and transparency.
With almost two decades of experience in real estate and client advisory, Dana brings a strong foundation in transactional processes, stakeholder management, and regulatory navigation. Prior to joining EDS, she built a successful career as a Licensed Realtor with Gibson Sotheby’s International Realty, where she developed a reputation for delivering results across complex property transactions.
Dana combines operational rigor with a client-centric mindset, positioning her as a trusted leader at the intersection of compliance, technology, and financial services.
